Agreement to Terms
These Terms of Use ("Terms") constitute a legal agreement between you and Music Asset Services, LLC ("MAS," "we," or "us"). These Terms apply to and govern your access to and use of the MAS website (currently located at musicassetservices.com) including any and all content, functionality, resources and services offered on or through the website or any other platform, service or application made available by MAS (collectively, the "Site").
If you sign up for MAS services, our separate Terms of Service will control matters related to those services. To the extent there is any inconsistency between these Terms and the Terms of Service, the Terms of Service shall control.

We reserve the right to assume the defense and control of any matter otherwise subject to indemnification by you.

All information we collect on the Site is subject to our Privacy Policy. By using the Site, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.
Copyright Infringement and DMCA Notice

In accordance with the Digital Millennium Copyright Act and other applicable law, MAS has adopted a policy of terminating, in appropriate circumstances and in MAS' sole discretion, users who are deemed to be repeat infringers. For the avoidance of doubt, the foregoing sentence in no way limits MAS' right to limit access to the Site for any reason, in MAS' sole discretion.
Please be advised that pursuant to federal law you may be held liable for damages if you make material misrepresentations in a copyright notice. If you are not sure that material located on or linked to by the Site infringes your copyright, you should consider first contacting an attorney.
International Users and Restricted Persons
You represent and warrant to us that you:
- Are not designated on any sanctions- or export-related list of restricted or blocked persons, including designation on the U.S. Department of the Treasury Office of Foreign Asset Control's ("OFAC") List of Specially Designated Nationals and Blocked Persons;
- Are not located in, organized under the laws of, or resident in any country or territory that is itself the subject of any economic or financial sanctions by any U.S. or other relevant governmental authority, including, but not limited to, Cuba, Iran, Syria, North Korea, Venezuela and the Crimea Region of Ukraine;
- Are not greater than 50% owned or controlled by any persons described in clause (a) or (b) (collectively with (a) and (b), a "Restricted Person");
- Will not violate or cause MAS to violate any economic sanctions, including those administered by OFAC, in connection with the Site; and
- Will notify MAS immediately of any breach of the terms described in clauses (a) through (d).
Dispute Resolution and Governing Law
These Terms shall be construed and enforced in accordance with the laws of the State of Wyoming, without regard to any conflict of law provisions.
Any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Wyoming before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction.
Notwithstanding the foregoing, either party may seek equitable relief (including injunctive relief) in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents or other intellectual property rights.
Miscellaneous
These Terms and the Privacy Policy constitute the entire agreement between you and us with respect to your access to and use of the Site.
If any provisions are deemed invalid or unenforceable, they will be severed or construed to reflect, as nearly as possible, the original intentions of the parties, and the remaining provisions shall remain in full force and effect.
No waiver of any provision by us shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
The Site is hosted and operated in the United States. We make no representation that any Content is appropriate for access outside of the United States. Those who choose to access the Site from outside the United States do so on their own initiative and are responsible for compliance with local laws.
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
