Terms of Use

These Terms of Use ("Terms") constitute a legal agreement between you and Music Asset Services, LLC ("MAS," "we," or "us"). These Terms apply to and govern your access to and use of the MAS website (currently located at musicassetservices.com) including any and all content, functionality, resources and services offered on or through the website or any other platform, service or application made available by MAS (collectively, the "Site").

If you sign up for MAS services, our separate Terms of Service will control matters related to those services. To the extent there is any inconsistency between these Terms and the Terms of Service, the Terms of Service shall control.

PLEASE READ CAREFULLY. By visiting the Site, you agree to be bound by these Terms, as well as the terms of our Privacy Policy. Additional terms may also apply to certain activities on the Site (e.g., contests, giveaways, members-only features), all of which are hereby incorporated by reference into these Terms.

If you do not agree with or do not wish to be bound by all of these Terms, please navigate away from the Site and do not post or provide us with any information or otherwise use the Site in any manner.

No right, title, or interest in or to the Site or any Content on the Site is transferred to you, and all rights not expressly granted are reserved by MAS. Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

• In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate MAS, a MAS employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm MAS or users of the Site, or expose them to liability.

Additionally, you agree not to:

• Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Site.
• Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
• Use any manual process to monitor or copy any of the material on the Site, or for any other purpose not expressly authorized in these Terms, without our prior written consent.
• Use any device, software, or routine that interferes with the proper working of the Site.
• Introduce to the Site any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
• Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
• Otherwise attempt to interfere with the proper working of the Site.

By submitting your email address, contact information, or other data through the Site (including through contact forms, signup forms, or other interactive features), you consent to our collection, use, and disclosure of that information as described in our Privacy Policy.

You represent and warrant that:

• All information you submit to us via the Site is and will remain truthful and accurate.
• Your submission of information does not violate any third-party rights, including copyright, trademark, privacy, or other proprietary rights.
• You are at least 18 years of age and possess the legal authority to agree to these Terms.

All trademarks, service marks, logos, and trade names displayed on the Site are the property of MAS or their respective owners. You may not use any such marks without the prior written permission of MAS or the applicable owner.

You agree to indemnify, defend and hold harmless MAS and our officers, directors, shareholders, agents, service providers, affiliates, licensors, and representatives (collectively, the "Indemnified Parties") from and against any and all liability and costs incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of these Terms or the foregoing representations and warranties, including, without limitation, court costs and attorneys' fees.

You shall cooperate as fully as reasonably required in the defense of any claim and shall not enter into any settlement agreement which affects our rights without our prior written approval. We reserve the right to assume the defense and control of any matter otherwise subject to indemnification by you.

All information we collect on the Site is subject to our Privacy Policy. By using the Site, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

We take alleged copyright infringement seriously. If you believe that any information or material on our Site constitutes copyright infringement, please send our Copyright Agent a written notice that includes the following information:

1. An electronic or physical signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed;
2. Identification of the copyrighted work claimed to have been infringed;
3. A description of where the material that you claim is infringing is located on the Site;
4. Your address, telephone number, and email address;
5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
6. A statement by you, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

In accordance with the Digital Millennium Copyright Act and other applicable law, MAS has adopted a policy of terminating, in appropriate circumstances and in MAS' sole discretion, users who are deemed to be repeat infringers. For the avoidance of doubt, the foregoing sentence in no way limits MAS' right to limit access to the Site for any reason, in MAS' sole discretion.

Please be advised that pursuant to federal law you may be held liable for damages if you make material misrepresentations in a copyright notice. If you are not sure that material located on or linked to by the Site infringes your copyright, you should consider first contacting an attorney.

You represent and warrant to us that you:

1. Are not designated on any sanctions- or export-related list of restricted or blocked persons, including designation on the U.S. Department of the Treasury Office of Foreign Asset Control's ("OFAC") List of Specially Designated Nationals and Blocked Persons;
2. Are not located in, organized under the laws of, or resident in any country or territory that is itself the subject of any economic or financial sanctions by any U.S. or other relevant governmental authority, including, but not limited to, Cuba, Iran, Syria, North Korea, Venezuela and the Crimea Region of Ukraine;
3. Are not greater than 50% owned or controlled by any persons described in clause (a) or (b) (collectively with (a) and (b), a "Restricted Person");
4. Will not violate or cause MAS to violate any economic sanctions, including those administered by OFAC, in connection with the Site; and
5. Will notify MAS immediately of any breach of the terms described in clauses (a) through (d).

These Terms shall be construed and enforced in accordance with the laws of the State of Wyoming, without regard to any conflict of law provisions.

Any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Wyoming before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction.

Notwithstanding the foregoing, either party may seek equitable relief (including injunctive relief) in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents or other intellectual property rights.

These Terms and the Privacy Policy constitute the entire agreement between you and us with respect to your access to and use of the Site.

If any provisions are deemed invalid or unenforceable, they will be severed or construed to reflect, as nearly as possible, the original intentions of the parties, and the remaining provisions shall remain in full force and effect.

No waiver of any provision by us shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

The Site is hosted and operated in the United States. We make no representation that any Content is appropriate for access outside of the United States. Those who choose to access the Site from outside the United States do so on their own initiative and are responsible for compliance with local laws.

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
